FedEE Terms and Conditions of Membership

1. Fédération des Employeurs Européens/The Federation of European Employers (hereinafter referred to as the Federation or FedEE) is a support organisation for European employers. References to members in this text shall apply to all categories of membership and fellowship of the Federation.

2. Services to members are provided by FedEE Services Limited. All rights referred to in these terms and conditions shall apply equally in respect to FedEE and FedEE Services Limited.

3. Corporate membership is open to bona fide employers who operate (or plan to operate) in Europe. Applications are reviewed by the membership panel of the FedEE Secretariat, and may be accepted or refused at its discretion. Membership may be terminated at the discretion of the Secretariat if a member organisation is considered to be in breach of these terms and conditions, or is considered not to be a suitable or appropriate firm or body to be a member of the Federation.

4. All applications for corporate membership shall be handled in accordance with the terms of the Consumer Protection (Distance Selling) Regulations 2000 and EC Directive 97/7/EC. Any cancellations in respect of these must be made within seven working days of the application and can only be accepted if our services have not been used. Cancellations may be sent by email to info@fedee.com or by fax to (0044) (0)207 520 9265.

5. Additional users must be current employees of the member organisation. The following user limits apply:
Band 1 (up to 25,000 employees worldwide): up to 5 additional users
Band 2 (over 25,000 employees worldwide): up to 10 additional users
Band 3 (other organisations): up to 10 additional users
Further user licences may be obtained by purchasing additional subscriptions.

6. Corporate members shall nominate a senior manager or professional to be their main contact with the Federation. The main contact will be responsible for managing additional users, informing us of changes in user details, and notifying us of users leaving their employment. Each user will receive their own individual passwords for access to our services and these must not be shared with anyone else. If a user ceases to be employed by the member organisation, they have no further right to make use of our services. It shall be the obligation of the member organisation to ensure that the provisions of this rule and the rules of the Federation generally are complied with by their employees and users nominated by them

7. All members shall agree that email addresses provided to FedEE and FedEE Services Limited may be used for administrative purposes and for the provision of membership services, subject to termination, amendment or addition of users in accordance with these terms and conditions. A corporate email address must be provided for each named user, and it is a condition of access to our services that all current users remain on the circulation list to receive our fortnightly HR newswire by email

8. All members shall pay an annual subscription on the basis of a tariff set by the board of the Federation. The first year of membership shall operate for 12 months from the end of the month in which an organisation submits a membership application

9. Members may contact us for further information or clarification relating to the material published on our website. This is limited to a maximum of one hour per subscription per year, including time spent on administration and research.

10. When each subscription period comes to an end, a renewal invoice will be issued and membership will be provisionally renewed for a further 12 months (subject to payment) to ensure continuity of service. If renewal is not required, an authorised representative from the organisation must inform the Federation office at the earliest reasonable opportunity.

11. UK Value Added Tax (VAT) will not be charged on subscriptions from members located outside the European Union (EU). Those located in EU countries outside the UK will not be charged VAT if a valid EC VAT registration number is provided.

12. Members agree to settle all legitimate invoices issued by FedEE or FedEE Services Limited within 28 days of receipt.

13. The Federation/FedEE Services Limited undertakes to supply services to members as described on its website and promotional literature. However, we reserve the right to vary, amend or withdraw these services at our discretion.

14. Corporate members and their representatives shall undertake to respect the confidentiality and protect the copyright of all information conveyed to them, and not to divulge such information to employee representatives or anyone outside their organisation. Unless stated otherwise, the copyright on all material supplied to members belongs to FedEE Services Limited. Members shall also undertake not to bring the Federation or FedEE Services Limited into disrepute.

15. Privacy: the identities of members and their representatives, with the exception of board members and fellows, will not be revealed to any organisation outside the FedEE Board and Secretariat, its advisors, its auditors or FedEE Services Limited without their explicit permission. The exceptions to this are where a member organisation voluntarily reveals such details, or where they must be made public for any statutory reason.

16. The Federation/FedEE Services Limited provides information and assistance to members and in doing so uses its best endeavours to ensure the accuracy of all such information and assistance. However, members should consult their own legal, financial or other appropriate specialist advisors before acting on the basis of any information and/or views obtained from us. In no event shall the Federation, its officers, or FedEE Services Limited be liable to members or to any other bodies, individuals or third parties for any loss, lost profit, or any special, incidental or consequential damages (however arising, including negligence) arising out of, or in connection with services, benefits and/or products supplied by FedEE or FedEE Services Limited. Liability under all circumstances shall be limited to the annual corporate subscription of an individual organisation.

17. All organisations subscribing to the Federation are 'corporate members', with exclusive access to the full range of membership services, but no formal voting powers. FedEE Board members are full voting members of the company. Honorary fellows are individuals appointed by the Board who hold an equivalent status to corporate members, but on an individual basis.

19. The rights and obligations conferred by corporate membership and fellowship of the Federation shall be subject to English law.
